1. Acceptance of Terms

By accessing or using the Exawatt platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including visitors, registered users, and customers with paid plans.

2. Description of Service

Exawatt provides a cloud-based platform for monitoring, managing, and orchestrating AI agents and automated tasks. The Service includes a web-based dashboard, API access, agent configuration tools, task scheduling, log aggregation, and related features as described on our website and documentation. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your password and accept responsibility for all activity under your account
  • Promptly notify us of any unauthorized use of your account
  • Not share your account credentials with any third party
  • Be at least 16 years of age

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property rights of others
  • Transmit malware, viruses, or other malicious code
  • Conduct unauthorized access to other systems or networks
  • Generate or distribute spam, phishing content, or deceptive material
  • Interfere with or disrupt the integrity or performance of the Service
  • Circumvent any usage limits, rate limits, or security measures
  • Resell or sublicense the Service without our written consent

We reserve the right to investigate and terminate accounts engaged in prohibited activities.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Exawatt and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

You retain ownership of the data and content you upload to the Service ("Customer Data"). By using the Service, you grant us a limited, non-exclusive license to process your Customer Data solely to provide and improve the Service. We will not use your Customer Data to train AI models without your explicit consent.

6. Payment and Billing

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change pricing with 30 days' advance notice.

7. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR CONTINUOUS AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXAWATT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Exawatt and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may request export of your Customer Data within 30 days of termination. After that period, we may delete your data in accordance with our data retention policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms.
