Terms of Service

1. Acceptance of terms

By downloading, installing, or using Exawatt (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to everyone who uses it, whether or not you create an account.

2. Description of the Service

Exawatt is a desktop application for macOS on Apple silicon that runs and monitors coding agents, together with this website. The app hosts agent tools you have already installed, such as Claude Code and Codex, in its own terminal, organizes their Sessions per Project, and shows you which are working and which are waiting on you. Those agents run as local processes on your machine, under your own accounts and permissions, and reach their providers directly.

By default the app starts agents with the harness approval prompts and sandboxing turned off, so a fleet keeps moving rather than stopping on every step. That is a choice you control for each Agent in the launcher. You are responsible for what agents you launch do on your machine and in your accounts.

Exawatt is early software under active development. We may modify, suspend, or discontinue any part of it, and surfaces will change between builds.

3. Accounts

An account is optional. You can download the app and run agents locally without one. Signing in adds Project sync across machines, the hosted features described in our Privacy Policy, and the public leaderboard. If you do create an account, you agree to:

• Provide accurate, current, and complete information
• Keep your credentials secure and accept responsibility for activity under your account
• Promptly notify us of any unauthorized use
• Not share your account credentials with any third party
• Be at least 16 years of age

We may suspend or terminate accounts that violate these Terms.

4. Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Transmit malware, viruses, or other malicious code
• Conduct unauthorized access to other systems or networks
• Generate or distribute spam, phishing content, or deceptive material
• Interfere with or disrupt the integrity or performance of the Service
• Circumvent the rate limits on hosted features, or publish fabricated measurements to the public leaderboard
• Resell or sublicense the Service without our written consent

We may investigate and terminate accounts engaged in prohibited activities.

5. Intellectual property

The Service and its original content, features, and functionality remain the property of Exawatt and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

Your code, your prompts, and your agents' output are yours and stay on your machine. The limited data you do send us, listed in the Privacy Policy, stays yours as well; you grant us a limited, non-exclusive license to process it solely to provide the feature you used it for. We do not use it to train AI models.

6. Price

Exawatt is free today. There are no paid plans, no subscription, and no fees, and we collect no payment details of any kind. The agent tools Exawatt runs bill you directly under your own accounts with those providers, and that is between you and them. If we introduce paid plans we will update these Terms and give notice before any charge applies.

7. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR CONTINUOUS AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOU ARE RESPONSIBLE FOR THE ACTIONS OF AGENTS YOU LAUNCH THROUGH THE SERVICE, INCLUDING CHANGES THEY MAKE TO YOUR FILES AND CALLS THEY MAKE UNDER YOUR CREDENTIALS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXAWATT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRIOR TO THE CLAIM, WHICH IS ZERO WHILE THE SERVICE IS FREE.

9. Indemnification

You agree to indemnify, defend, and hold harmless Exawatt and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination your right to use the Service ends. Your local work is unaffected: it lives in your own files, your agents' own logs, and your git history, not in Exawatt. To request a copy or deletion of the account data we hold, write to privacy@exawatt.ai within 30 days of termination.

11. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service is subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

12. Changes to terms

We may modify these Terms. We will give at least 14 days' notice of material changes by email or a prominent notice in the Service. Continuing to use the Service after the effective date of a change is your acceptance of the new Terms.
